Insider buying at Nebius❓

In recent days, headlines have been circulating online about "insider buying" at Nebius: a director buying shares while the stock plummets. ▶️

We checked all the filings. This is indeed a purchase, but a planned one. But there is a twist here. 🤫

$NBIS

Let's clear things up: ⬇️ Arne Grimme, a Dutch lawyer and independent director at Nebius, made eight purchases between October 15 and 26, buying 1,513 shares for about $247,600. 🛒

First of all, the most important point that for some reason no one noticed: 👀 the same note appears in each of the filings: the purchases were made according to a trading plan that Grimme adopted on June 15, 2026.

Such a plan is a pre-instruction to the broker, how much to buy and at what price. 💡

There is no later adoption date in any filing, meaning there is no sign that the plan was changed.

For us, a purchase plan is not something we pay much attention to, it is not a classic "dip buying", it is a plan approved months in advance.

And now the twist we identified. 🤫

On June 15, Nebius closed at $260.07.

The first purchase only came on October 15, and at exactly $169.99. 📊

On October 16 and 19 as well, he bought 148 shares at the same price, about $25,000 each day. 🛒

Did you notice what is unusual here?

The purchase price of $169.99 is about 35% lower than the price on the day the plan was signed. 🔽

The reason is that this purchase plan was not set by dates, it was also set by prices!

Let's explain how things work: 💡 although the stock already fell below $170 in July, and on July 29 closed at $148.22, Grimme did not buy.

The reason? Under SEC rules, a director with such a plan waits at least 90 days, in this case until September 13. 🗓

Since then, the stock did not fall below $183, until October 15. On that day it touched $163.36, and the first purchase was executed. 🔎

When we analyzed the filings, we noticed something interesting, as the price fell, the amount rose: 🛒 October 22: 357 shares at $161.97, about $57,800. 📊 October 23 to 26: 413 shares for a total amount of over $64,000 📊

Now stop for a moment and think about it: this is not an October decision. This is what Grimme decided back in June, when the stock was at $260:

At $170 I buy, and below that even more. The market only just reached this price.

In other words, Grimme "marked in advance" price zones that were "interesting" to him 🎯

Therefore, we do view this as a classic "dip buying" ✅

So yes, there is insider buying at Nebius‼️

We are tracking.

Good intel travels.
