Terms of Service

By accessing or using SpyStocks ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and SpyStocks. Your continued use of the platform following any modifications to these Terms constitutes acceptance of those changes.

SpyStocks is a financial intelligence platform that aggregates and presents publicly available data from multiple sources, including but not limited to:

• SEC filings (Form 4, 13F, 13D/G)
• Congressional and political trading disclosures
• Unusual options activity
• Institutional holdings and position changes
• Dark pool transaction data
• Analyst ratings and price targets

SpyStocks does NOT provide investment advice, financial recommendations, or personalized trading guidance. All data presented on the platform is for informational and educational purposes only. You should always consult a qualified financial advisor before making any investment decisions.

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify SpyStocks immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement.

SpyStocks offers subscription-based access to premium features. Payments made through the website are processed through Stripe. Any separately offered app-store purchase follows the purchase channel’s billing terms. By subscribing, you agree to the following:

• Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date
• You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period
• Refunds are issued at the sole discretion of SpyStocks and are evaluated on a case-by-case basis
• SpyStocks reserves the right to change subscription pricing with reasonable advance notice to existing subscribers
• You are responsible for any applicable taxes associated with your subscription

You agree not to engage in any of the following prohibited activities:

• Scraping, crawling, or using automated tools to extract data from the platform
• Redistributing, reselling, or republishing any data or content obtained from SpyStocks
• Using automated bots, scripts, or other programmatic means to access the Service
• Misrepresenting SpyStocks data as your own proprietary research or analysis
• Attempting to interfere with, compromise, or disrupt the Service or its infrastructure
• Using the Service for any unlawful purpose or in violation of any applicable regulations
• Sharing your account credentials or allowing unauthorized access to your account

The SpyStocks platform, including its design, user interface, data aggregation methods, analytical tools, visualizations, and all associated branding, is the proprietary property of SpyStocks and is protected by applicable intellectual property laws.

Rights in source data remain subject to the original source’s legal status and license terms. The specific manner in which SpyStocks collects, processes, organizes, and presents this data constitutes our proprietary work. You may not copy, modify, distribute, or create derivative works based on SpyStocks' proprietary content without prior written consent.

The Service is provided on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind, whether express or implied. SpyStocks makes no guarantees regarding the accuracy, completeness, reliability, or timeliness of any data or content provided through the platform. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Your use of the Service is at your sole risk.

To the maximum extent permitted by applicable law, SpyStocks and its officers, directors, employees, and affiliates shall not be liable for:

• Any trading or investment losses incurred based on information obtained from the Service
• Any inaccuracies, errors, or omissions in the data presented
• Service interruptions, downtime, or technical failures
• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities arising from use of the Service

In no event shall SpyStocks' total liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

Either party may terminate the relationship at any time. You may close your account through your account settings or by contacting support. SpyStocks reserves the right to suspend or terminate your account, without prior notice, if:

• You violate any provision of these Terms
• Your use of the Service poses a security risk or may cause harm to other users
• Your account has been inactive for an extended period
• We are required to do so by law or legal process

Upon termination, your right to access the Service will cease immediately. Provisions that by their nature should survive termination will remain in effect.

SpyStocks reserves the right to modify or update these Terms at any time. We will notify users of material changes by posting the updated Terms on the platform and updating the "Last Updated" date. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.

Prices, filings, holdings and transaction dates may be delayed, incomplete, corrected or restated. A reported filing date may differ from the transaction date, and a disclosed position may no longer be held. Currency, split adjustments, time zones and source methodology can affect comparisons. Verify material figures against the original filing or exchange before relying on them.

Investments can lose value, including the entire amount invested. Historical returns, insider transactions, institutional activity, rankings and simulated examples do not predict future results. The Service does not assess your financial situation, objectives or tolerance for loss, and does not act as your broker, investment manager or fiduciary. A watchlist entry or alert is not an instruction to trade.

Alerts are a convenience and must not be your sole source of time-sensitive information. Push, email, Telegram or other supported delivery channels depend on your preferences, device permissions, connectivity and third-party availability. Delivery can be delayed, duplicated or missed. You are responsible for reviewing your alert settings and using independent monitoring for important decisions.

Where available, automated or AI-assisted summaries, classifications and explanations may contain omissions, incorrect associations or inaccurate interpretations. They supplement source documents rather than replace them. A relationship displayed between people, organizations or securities does not establish wrongdoing, endorsement, causation or a current business relationship. Review the cited source and its date.

External websites, data providers and embedded services operate under their own terms and privacy policies. We do not control their content or availability. Source citations and outbound links do not imply endorsement. Public availability does not by itself remove copyright, database rights or license restrictions. Respect the attribution and reuse terms of the original source.

The mobile app may request permissions for optional features such as notifications or selecting an image for feedback. You can manage device permissions in operating-system settings; denying a permission may limit the related feature. An internet connection is needed for current content. Cached screens may be stale, and uninstalling the app does not by itself cancel a subscription or close your account.

Before purchasing, review the displayed price, currency, billing period, renewal terms and cancellation instructions. A free trial or promotion applies only when explicitly offered, and its end date and subsequent charge should be reviewed before acceptance. If a purchase is offered through an app store, that store’s purchase, billing and refund procedures apply to that transaction. Use the cancellation channel associated with your purchase; deleting an account or app is not a substitute for confirming cancellation. Mandatory consumer rights remain unaffected.

When sending feedback or a correction, provide accurate information and only materials you are entitled to share. Do not send passwords, authentication codes, payment-card details or confidential information about other people. We may use the submitted material to investigate, respond and improve the Service. A report does not guarantee a particular correction or response time. To challenge a public claim, identify the specific page, statement and supporting source.

Features, coverage and source availability can change. Maintenance, security incidents, network failures and events beyond reasonable control may interrupt access. We may restrict abusive traffic or temporarily suspend affected features to protect the Service. Any applicable purchase commitments and non-waivable legal rights remain in force. Keep a separate record of information essential to your own work.

These terms are available in English and Hebrew for convenience. If a translation appears inconsistent or unclear, contact us before relying on the disputed wording; neither version is intended to remove rights that apply under mandatory law. A failure to exercise a right immediately does not by itself waive it. If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law.
